By accessing our website at 5pcommerce.com or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

These terms apply to all visitors, clients, and others who access or use our services.

5P Commerce (operated by Viraaj and Sanvi Innovations Private Limited) provides e-commerce consulting, store setup, platform migration, SEO, paid acquisition management, and related digital services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work or Service Agreement signed by both parties.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to active clients.

To enable us to deliver our services effectively, you agree to provide accurate and complete information about your business, grant us necessary access to platforms and accounts as required for the engagement, review and provide feedback on deliverables within agreed timelines, and make payments in accordance with the agreed schedule.

You are responsible for ensuring that any content, materials, or assets you provide to us do not infringe the intellectual property rights of any third party.

Payment terms are specified in your individual Service Agreement. Unless otherwise agreed in writing, invoices are due within 14 days of the invoice date. Late payments may incur interest at the rate of 1.5% per month on the outstanding balance.

We reserve the right to suspend work on your project if payment is overdue by more than 14 days, without liability for any resulting delays.

Upon receipt of full payment for a project, all custom deliverables created specifically for you (such as store designs, copy, and configurations) become your property. We retain ownership of our proprietary methodologies, frameworks, templates, and tools, including the 5P Framework.

You grant us a non-exclusive licence to use your brand assets, logos, and materials solely for the purpose of delivering the agreed services.

We may reference your business as a client and describe the nature of our engagement in our portfolio and marketing materials, unless you request otherwise in writing.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the service relationship for a period of two years.

Confidential information does not include information that is publicly available, independently developed, or disclosed with the other party's written consent.

To the maximum extent permitted by applicable law, 5P Commerce and Viraaj and Sanvi Innovations Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you in the three months preceding the claim.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will meet your specific requirements, achieve particular revenue or traffic outcomes, or be uninterrupted or error-free.

E-commerce results depend on many factors outside our control, including market conditions, platform algorithm changes, and your own business operations. Any projections or estimates we provide are illustrative only.

Either party may terminate a service engagement by providing 30 days written notice. Upon termination, you will be invoiced for all work completed up to the termination date, and we will deliver all completed work product.

We may terminate immediately if you breach these terms, fail to make payment, or engage in conduct that we reasonably believe is harmful to our business or reputation.

These terms are governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in India.

We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the revised terms.
